Terms of Service

Important

The Service provides AI-assisted analysis. AI output can be wrong. You are responsible for verifying results and for decisions you make using the Service.

1. Agreement

These Terms of Service ("Terms") govern access to and use of the XCOR-CTO platform, APIs, and related services (the "Service") provided by XCOR-CTO ("XCOR-CTO," "we," "us"). By creating an account, clicking to accept, or using the Service, you ("Customer," "you") agree to these Terms.

If you use the Service on behalf of an entity, you represent and warrant that you have authority to bind that entity.

2. Definitions

• Customer Content means all documents, files, text, images, data, and other materials you upload or submit to the Service.
• AI Output means any generated, extracted, scored, summarized, classified, recommended, or otherwise produced output from the Service, including analyses, match scores, risk flags, recommendations, embeddings, and reports.

3. No Professional Advice; No Reliance

The Service and AI Output are provided for informational and workflow-assistance purposes only. XCOR-CTO does not provide, and the Service is not a substitute for, legal, financial, investment, accounting, employment, HR, recruiting, security, compliance, medical, or other professional advice.

You are solely responsible for verifying AI Output and for all decisions and actions you take based on the Service, including hiring decisions, investment decisions, diligence conclusions, contractual decisions, or security/compliance decisions.

4. AI Limitations

• AI Output is generated using probabilistic models and may be inaccurate, incomplete, misleading, or unsafe.
• AI Output may contain fabricated details ("hallucinations") or incorrect conclusions.
• The Service may produce different outputs for the same input over time.

You are responsible for implementing appropriate human review, internal controls, and quality assurance before using AI Output for any purpose.

5. Customer Content

You represent and warrant that you have all rights, permissions, and lawful bases necessary to provide Customer Content to the Service and to authorize us to process it as described in these Terms. Your use of the Service and Customer Content must comply with applicable laws.

Unless expressly agreed in writing, you will not upload highly sensitive personal data (for example, Social Security numbers, passport numbers, driver's license numbers, or banking credentials) or regulated medical data.

6. Third-Party Processing

You authorize XCOR-CTO to process Customer Content using third-party service providers and subprocessors to provide the Service (for example, cloud infrastructure providers and AI model providers). Customer Content may be transmitted to such providers to perform analysis, extraction, classification, or generation.

7. Disclaimer of Warranties

THE SERVICE AND AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, XCOR-CTO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND THAT THE SERVICE OR AI OUTPUT WILL BE ERROR-FREE OR UNINTERRUPTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XCOR-CTO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR AI OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XCOR-CTO'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO XCOR-CTO FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

The Service is not designed for high-risk activities where errors could lead to death, personal injury, or significant property or environmental damage, and you agree not to use it for such purposes.

9. Indemnification

You will defend, indemnify, and hold harmless XCOR-CTO from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) Customer Content, (b) your use of AI Output, or (c) your violation of these Terms or applicable law.
